Ownership of the Platform

Love Carmarthen is a custom digital platform developed by Think Digital.

The platform includes, but is not limited to:

• the website structure
• the mobile app framework
• the business directory system
• the event listing and promotion system
• the category structure
• the bilingual content approach
• the database structure
• the content management workflows
• the design system
• page layouts and user journeys
• custom code and configuration
• written content
• visual presentation
• integrations with third-party services
• push notification functionality
• social media integration
• administrative functionality
• administrative workflows
• technical documentation
• platform strategy and implementation model

All intellectual property rights in the above are owned by Think Digital unless otherwise agreed in writing.

No ownership of the underlying platform, custom code, configuration, app framework, database model, design system, workflows, documentation, administrative functionality or wider intellectual property has been transferred to Carmarthen Town Council, Carmarthenshire County Council, or any other third party.

Carmarthen Town Council Lifetime Licence

Think Digital has granted Carmarthen Town Council a lifetime licence to use the Love Carmarthen platform for the benefit of Carmarthen town and its community.

This lifetime licence is granted specifically to Carmarthen Town Council and specifically for the operation of Love Carmarthen in relation to Carmarthen.

The licence allows Carmarthen Town Council to use the Love Carmarthen platform for Carmarthen-related town promotion, events, business listings, community information, news, updates and related local purposes.

The lifetime licence does not transfer ownership of the platform or any underlying intellectual property.

The licence is:

• lifetime
• non-exclusive
• non-transferable
• non-sublicensable
• limited to Carmarthen
• limited to the Love Carmarthen platform
• not a county-wide licence
• not a licence for other towns, communities, wards, destinations, tourism areas or local authority areas

For clarity, the lifetime licence does not allow Carmarthen Town Council, Carmarthenshire County Council, any council department, contractor, agency, public body, tourism body, partner organisation or third party to copy, reproduce, adapt, clone, white-label, rebrand, reverse-engineer, scrape, imitate, commission or operate a substantially similar version of the platform for another area without a separate written agreement with Think Digital.

No County-Wide or Third-Party Licence

The Love Carmarthen licence is town-specific. It has been granted for Carmarthen only.

It is not a licence for Carmarthenshire as a county, and it does not permit the platform to be reused, replicated, adapted or redeployed for other towns, villages, communities, regions, destinations or local authority projects.

This includes, but is not limited to, any platform created for:

• other towns in Carmarthenshire
• county-wide tourism promotion
• community directories
• business directories
• local event platforms
• bilingual destination websites
• town apps
• council-owned apps
• tourism apps
• public-sector community platforms
• BID or town-centre platforms
• third-party platforms commissioned by a council or public body

Any such use requires a separate written licensing agreement with Think Digital.

Restrictions on Copying, Replication and Derivative Platforms

No person, council, public body, contractor, agency, partner organisation or third party may copy, reproduce, adapt, clone, reverse-engineer, white-label, rebrand, scrape, imitate or otherwise use Love Carmarthen, in whole or in substantial part, without prior written permission from Think Digital.

This restriction applies to the platform as a whole and to its individual components, including but not limited to:

• custom code
• technical configuration
• website structure
• mobile app framework
• database structure
• business directory model
• event listing model
• category structure
• content submission workflows
• administrative functionality
• admin workflows
• bilingual content approach
• translation workflow
• page layouts
• design system
• navigation structure
• written content
• user journeys
• platform documentation
• technical specification
• integration model
• push notification setup
• social media integration
• app store implementation
• platform arrangement and implementation model

For the avoidance of doubt, this notice does not claim ownership of the general idea of a town website, business directory, event listing or community platform.

However, it does protect the specific Love Carmarthen implementation, including its custom code, configuration, design, structure, database model, content model, workflows, written content, technical setup, app framework, administrative functionality and overall platform arrangement created by Think Digital.

Database Rights and Content Structure

The Love Carmarthen platform contains structured data, directory information, event information, categories, business listings, community information and related content organised through a custom database and content model.

Think Digital reserves all rights in the selection, arrangement, structure, organisation, verification and presentation of this data.

No person, council, public body, contractor, agency, partner organisation or third party may scrape, export, copy, reproduce, republish, adapt or reuse the database structure, category model, listing arrangement, content model or substantial parts of the platform data without prior written permission from Think Digital.

Website, App and Platform Development

Love Carmarthen was developed by Think Digital.

The platform represents a significant investment of time, planning, design, development, testing, content structuring and technical implementation.

The solution includes:

• bilingual website functionality
• Welsh language support
• iOS and Android mobile application capability
• business directory and category management
• event listing and promotion tools
• news and community update management
• push notification functionality
• social media and third-party integrations
• town-specific branding and content structure
• scalable licensing potential for other towns and communities

The platform has been provided to Carmarthen Town Council on a lifetime-use basis for Carmarthen, but it remains a Think Digital platform.

Licensing Opportunities

The underlying platform behind Love Carmarthen is available for licensing to other towns, councils, Business Improvement Districts, tourism partnerships, community organisations and destination projects.

Each licensed version is adapted for the relevant town, area or destination while using the proven platform framework developed through Love Carmarthen.

Any use of the Love Carmarthen platform, structure, codebase, app framework, database model, workflows, content model, administrative functionality or derivative version for another area requires a separate written licensing agreement with Think Digital.

Think Digital reserves the right to license, adapt, develop, commercialise and deploy the underlying platform for other towns, communities, councils, BIDs, tourism bodies, private organisations and public-sector partners.

Unauthorised Use

Unauthorised copying, reproduction, adaptation, cloning, scraping, reverse-engineering, imitation, white-labelling, commissioning or use of the Love Carmarthen platform, in whole or in substantial part, may constitute infringement of copyright, database rights and/or other intellectual property rights.

Think Digital reserves all rights to take action where its intellectual property is used without permission.

Summary of Licence Position

Love Carmarthen has been made available to Carmarthen Town Council under a lifetime licence for Carmarthen.

• That licence does not transfer ownership.
• That licence does not apply to Carmarthenshire County Council.
• That licence does not allow the platform to be copied, cloned, transferred, sublicensed or reused for other towns or areas.
• That licence does not allow third parties, contractors, council departments or partner organisations to use Love Carmarthen as the basis for another platform.
• Any wider rollout, replication, adaptation, imitation or derivative version requires a separate written agreement with Think Digital.
